Welcome to the Stafford Wholesale LLP website Terms and Conditions for use.

Unless otherwise expressly agreed in writing by Stafford Wholesale LLP (the Seller) goods are supplied on the Seller’s conditions and shall apply to the exclusion of those of you (the Buyer)

You warrant that:

  • The Personal Information which you are required to provide when you register as a customer is true and accurate in all respects; and
  • You will notify us immediately of any changes to this Personal Information.

You will not impersonate any other person or business whatsoever.

Indemnity

You agree fully to indemnify, defend and hold us, and our suppliers, harmless immediately on demand, from and against all claims, liability, damages, losses, costs and expenses, including reasonable legal fees, arising out of any breach of the Conditions by you or any other liabilities arising out of your use of this Website, or the use by any other person accessing the Website using your shopping account and/or your Personal Information.

We reserve the right to

  • Modify or withdraw this Website, or any part thereof, with or without notice and we shall not be liable for any modification to or withdrawal of the Website; and/or
  • Change our Conditions of Sale without notice. Any such update is immediately effective upon the Buyer and the Buyer’s ongoing use of this website signifies agreement to any such change.

Third party links

We may provide links to other Websites.  If any such link is available we have no control over content or integrity of the third party and accept no liability whatsoever howsoever arising.

Basis of Sale

Any typographical, clerical or other error or omission in any quotation, acceptance of offer, invoice or other document containing information issued by the Seller shall be subject to correction without any liability on the part of the Seller.

The Seller reserves the right to make any changes in the specification of the Goods which are required to conform with any applicable safety or other statutory requirements or which do not materially affect their quality or performance.

The Seller reserves the right to make design changes to their goods and product description alterations which will not lower their performance.

Price & Delivery

Except as otherwise stated or agreed in writing between the Buyer and the Seller all prices given by the Seller on an ex works basis and where the Seller agrees to deliver the Goods otherwise than at the Seller’s premises the Buyer shall be liable to pay the Seller’s charges for transport, packaging and insurance.

The price is exclusive of any applicable Value Added Tax.

Any dates quoted for delivery of the Goods are approximate only and time for delivery shall not be of the essence.  Goods may be delivered by the Seller in advance provided that prior notification has been given.

The Seller may make delivery of the Goods in installments and where the Goods are delivered in installments, each delivery shall constitute a separate contract and failure by the Seller to deliver any one or more of the installments in accordance with these Conditions or any claim by the Buyer in respect of any one or more installments shall not entitle the Buyer to treat the Contract as a whole as repudiated.  The Seller shall also be entitled to deliver less than the number of goods ordered and the Buyer shall not be entitled to reject the goods by reason only of short delivery.

The Seller must be notified in writing of any shortages, goods damaged in transit or errors in dispatch within 10 days of date of corresponding transaction.

In the event of non delivery of goods, the Seller must be notified in writing within 14 days of date of corresponding transaction.

If the Buyer fails to take delivery of the Goods or fails to give the Seller adequate delivery instructions at the time stated for delivery (otherwise than by reason of any cause beyond the Buyer’s reasonable control or by reason of the Seller’s fault) then, without prejudice to any other right or remedy available to the Seller, the Seller may:

  • Charge all carriage costs incurred and offer the goods for sale elsewhere.
  • In the event of a consignment, for which a specific time has been allocated for delivery, is refused at delivery the Seller may charge all carriage costs incurred and offer the goods for sale elsewhere.

Promotional discounts

Coupons, discounts and promotional discount codes offered by Stafford Wholesale LLP are valid only for use as part of a purchase from Stafford Wholesale, unless otherwise stated.  Promotional discounts may be withdrawn at any time.

Intellectual Property and User Rights.

All copyright, trademarks and intellectual property rights supplied as part of the Website shall remain at all times vested in us or our licensors.  You are permitted to use this material only as expressly authorised by us or our licensors.

The material and content of our Website is available to you in the course of your association with this Website and our merchandise only.  Any other use is prohibited.

You agree not to copy, display, distribute, publish, reproduce, retain, or transmit any part of our intellectual property whatsoever.

Compliance with laws

The Website may be used only for lawful purposes and in a lawful manner.  You agree to comply with all applicable laws, statutes and regulations regarding the Website and any transactions conducted on or through this Website.

Warranties and Liability

Subject to the conditions set out below the Seller warrants that;

In the case of goods supplied the Goods will correspond in all material respects with their specification at the time of delivery and will be free from any significant defects in materials and workmanship for a period of three months from the date of their initial use or six months from delivery, whichever is the first to expire.

While we will use reasonable endeavours to verify the accuracy of the information on our Website we make no warranties, expressed or implied, in relation to the accuracy therein.  Any transaction made through our Website is subject to these provisions.

We shall make all reasonable endeavours to present our Website as an accurate and fully functioning entity.  We will be under no liability, warranty, condition or guarantee for any deviation whatsoever howsoever arising.

The Seller shall make all reasonable efforts to ensure that confidential information provided by the Buyer is not disclosed to any unauthorised person.  In the event of confidential information being disclosed to any unauthorised person  the Seller shall not be liable for any costs, claims, damages or expenses whatsoever, howsoever arising.

The Seller shall be under no liability in respect of any defect in the Goods arising from any drawing, design or specification supplied by the Buyer.

The Seller shall be under no liability in respect of any defect arising from fair wear and tear, wilful damage, negligence, abnormal working conditions, failure to follow the Seller’s instructions (whether oral or in writing), misuse, alterations, or repair of The Goods without the Seller’s approval.

The Seller shall be under no liability (or any warranty, condition or guarantee) in respect of any cause of colour leach.

The above warranty does not extend to parts, materials or equipment not manufactured by the Seller, in respect of which the Buyer shall only be entitled to the benefit of any such warranty or guarantee as is given by the manufacturer to the Seller.

Subject as expressly provided in these Conditions, and except where the Goods are sold to a person dealing as a consumer (within the meaning of the Unfair Contract Terms Act 1977), all warranties, conditions or other terms implied by statue or common law are excluded to the fullest extent permitted by law.

Where any valid claim in respect of any of the Goods which is based on any defect in the quality or condition of the Goods or their failure to meet specification is notified to the Seller within 6  months of transaction date, the Seller shall be entitled to repair or replace the Goods (or the part in question) free of charge or, at the Seller’s sole discretion, refund to the Buyer the price of the Goods (or a proportionate part of the price) provided the Goods are returned having been used for their proper purpose and the Buyer has not altered, modified, dismantled or otherwise attempted any repair of the goods.

Except in respect of death or personal injury caused by the Seller’s negligence or any liability imposed on the Seller by Part 1 of the Consumer Protection Act 1987, the Seller shall not be liable to the Buyer by reason of any representation, or any implied warranty, condition or other term, or any duty common law, or under the express terms of Contract, for any consequential loss or damage (whether for loss of profit or otherwise), costs, expenses, or other claims for consequential compensation whatsoever (and whether caused by the negligence of the Seller, its employees or agents or otherwise) which arise out of or in connection with the supply of the Goods or their use or resale by the Buyer, except as expressly provided in these Conditions.

The Seller shall not be liable to the Buyer or be deemed to be in breach of the Contract by reason of any delay in performing or failure to perform any of the Seller’s obligations in relation to the Goods where such delay or failure is due to any cause beyond the Seller’s reasonable control.

The Seller’s liability except in respect of death or personal injury for any one claim or total of all claims arising from one act or default shall not exceed the Contract price.

Export Terms

If there is any conflict between the provisions of Incoterms and these conditions the latter will prevail.

The Buyer shall be responsible for complying with any legislation and/or regulations governing the importations of the Goods into the country of destination that are prevailing at the date of acceptance of the order.

The Buyer shall be liable for all duties and taxes payable on the Goods together with all charges for carriage, delivery, packaging and insurance.

General

All Intellectual Property Rights comprising without limitation Copyright, Patents, Registered and Unregistered Design Rights and Trade Marks relating to Goods and/or services supplied by the Seller shall at all times remain the property of The Seller.

No waiver by the Seller of any breach of the Contract by the Buyer shall be considered as a waiver of any subsequent breach of the same or any other provision.
If any provision of these Conditions is held by any competent authority to be invalid or unenforceable in whole or in part the validity of other provisions of these Conditions and the remainder of the provision in question shall not be affected thereby.

The Contract shall be governed by the laws of England.
